  • “Recommendations” means insights, analyses, or suggestions generated by the Service.

Eligibility & Account Registration

You must be at least 18 years old and authorized to act on behalf of a business.

  • You are responsible for maintaining the confidentiality of your account credentials.

  • You are responsible for all activity that occurs under your account.

The SpendOwl Service

SpendOwl provides analytics, insights, and AI-powered recommendations for marketing performance optimization.

Important Clarifications

  • SpendOwl does not execute changes in your ad accounts.

  • All recommendations are advisory only.

  • You remain solely responsible for decisions, actions, and outcomes.

SpendOwl is a decision-support tool, not a replacement for professional judgmen

Use of Third-Party Integrations

By connecting platforms such as Shopify, Meta, Google, TikTok, or attribution tools, you authorize SpendOwl to access and process data as necessary to provide the Service.

You confirm that:

  • You have the legal right to connect these accounts

  • You comply with the terms of those third-party platforms

SpendOwl is not responsible for third-party service outages, inaccuracies, or policy changes.

Customer Data & Ownership

You retain all rights and ownership to your Customer Data.

  • You grant SpendOwl a limited, non-exclusive license to process Customer Data solely to provide and improve the Service.

  • SpendOwl may use aggregated and anonymized data for analytics, benchmarking, and model improvement.

Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes

  • Reverse engineer, scrape, or exploit the platform

  • Interfere with system integrity or security

  • Misrepresent SpendOwl outputs to third parties

  • Attempt to bypass usage limits or safeguards

We reserve the right to suspend or terminate accounts that violate these Terms.

Fees & Payment

  • Certain features may require a paid subscription.

  • We may change pricing with prior notice.

  • Fees are billed in advance and are non-refundable, unless required by law.

Failure to pay may result in suspension or termination of access.

Intellectual Property


  • SpendOwl owns all rights to the Service, software, models, UI, and documentation.

  • These Terms do not grant you ownership of SpendOwl intellectual property.

  • You may not copy, modify, or distribute the Service without permission

Confidentiality

Each party agrees to protect confidential information disclosed by the other and use it only to fulfill obligations under these Terms.

Disclaimers

No Performance Guarantees

SpendOwl does not guarantee:

  • Revenue growth

  • ROAS improvement

  • Reduced ad costs

  • Accuracy or completeness of third-party data

Service Provided “As Is”

The Service is provided “as is” and “as available”, without warranties of any kind.

Limitation of Liability

To the maximum extent permitted by law:

  • SpendOwl shall not be liable for indirect, incidental, or consequential damages

  • SpendOwl’s total liability shall not exceed the amount paid by you in the 6 months preceding the claim

You acknowledge that marketing decisions involve inherent risk

Indemnification

You agree to indemnify and hold harmless SpendOwl from any claims arising from:

  • Your use of the Service

  • Your connected data

  • Your violation of these Terms

  • Actions taken based on SpendOwl recommendations

Termination

You may stop using the Service at any time.

We may suspend or terminate access if:

  • You breach these Terms

  • Required by law

  • Necessary to protect system integrity

Upon termination, your access ends and data retention follows our Privacy Policy.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after updates constitutes acceptance.
